Extra-provincial (branch) registration is the procedure by which a non-resident company or corporation can register to conduct business in a Canadian province or territory other than the province or territory where the firm is originally . According to Canadian legislation, non-resident businesses that wish to operate in a province or territory where they do not have a physical presence or are not incorporated are required to register in this manner. A registered agent in the province or territory who can accept legal documents and notices on the company's behalf must also be named by the non-resident corporation.

Every foreign corporation must make sure that an Agent is still appointed and report any changes to the Agent's name, address, etc. (S.19 of the Extra–Provincial Corporations Act).,
A foreign corporation operating without having or without an appointed Agent for Service, may face possible prosecution under S.20 of the Extra-Provincial Corporations Act and is not capable of maintaining an action or other proceeding in an Ontario court (S.21 (1)).

Authorization

The corporation appoints an agent to act on its behalf within the province, with the authority to sue, be sued, receive legal notices, and execute all necessary actions and documents related to the corporation's affairs in the province. The appointment remains valid until the corporation provides due notice of a replacement agent to the Director under the Extra-Provincial Corporations Act. Until such notice is given and accepted, any legal notices or papers served upon the appointed agent will be considered valid service to the corporation.
